IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE AUDITAID SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
AuditAid is not a law firm and does not provide legal advice. These Terms of Service are provided as a starting template. You should have qualified legal counsel review and finalize these terms before publishing them.
1. Definitions
For the purposes of these Terms of Service, the following definitions apply:
- "AuditAid," "we," "us," or "our" means the AuditAid platform and its operators.
- "Service" means the AuditAid AI-powered smart contract security auditing platform, including the web application, API, reports, and all associated tools available at auditaid.io.
- "User," "you," or "your" means any individual or entity that accesses or uses the Service.
- "Smart Contract" means any EVM-compatible or Solidity-based program code submitted to the Service for analysis.
- "Audit Report" means any output, findings, vulnerability analysis, or recommendations generated by the Service in response to submitted Smart Contract code.
- "Authorized Contract" means a Smart Contract for which you are the owner, developer, authorized security researcher, or have received explicit written authorization from the owner to conduct security analysis.
- "Subscription" means a paid plan granting access to the Service under the terms of the applicable pricing tier.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you represent that:
- You are at least 18 years of age, or the age of legal majority in your jurisdiction;
- You have the legal capacity to enter into a binding agreement;
- If you are acting on behalf of a company or organization, you have authority to bind that entity to these Terms; and
- You have read, understood, and agree to these Terms of Service and our Privacy Policy, which is incorporated herein by reference.
3. Authorized Use Requirement
__THIS SECTION IS CRITICAL. READ IT IN FULL BEFORE SUBMITTING ANY CONTRACT CODE.__
3.1 Authorization Requirement
You may only use the Service to analyze Smart Contracts for which you have explicit authorization. By submitting any Smart Contract code to the Service, you represent and warrant that:
- You are the sole owner or co-owner of the Smart Contract;
- You are an authorized developer, security researcher, or auditor engaged by the owner under a written agreement that explicitly grants you the right to conduct security analysis;
- You have received clear, documented written permission from the owner to conduct security analysis using third-party tooling; or
- The Smart Contract code is publicly licensed under an open-source license that explicitly permits third-party security analysis (e.g., MIT, GPL), and you are not using the analysis to exploit, manipulate, or harm the deployed protocol or its users.
3.2 Prohibited Uses — Unauthorized Contracts
You are strictly prohibited from using the Service to:
- Analyze any live, deployed smart contract or protocol for which you do not have explicit authorization, regardless of whether the source code is publicly available;
- Use Audit Reports or vulnerability findings to exploit, attack, drain, manipulate, or otherwise harm any smart contract, protocol, decentralized application, or the users thereof;
- Conduct security analysis with the intent or effect of identifying vulnerabilities for unauthorized exploitation, front-running, MEV extraction targeting specific vulnerabilities, or any other malicious purpose;
- Submit contract code belonging to a third party without that party's express written consent;
- Use findings from the Service as a basis for any on-chain exploit, flash loan attack, governance manipulation, oracle manipulation, or similar harmful activity;
- Circumvent, reverse engineer, or misuse the Service itself.
3.3 Responsibility for Authorization
You are solely responsible for ensuring you have proper authorization before submitting any Smart Contract to the Service. AuditAid has no means to verify the ownership or authorization status of submitted contract code and accepts no responsibility for your failure to obtain proper authorization.
If you are an audit firm or professional security researcher using the Service on behalf of clients, you represent that your engagement agreement with each client explicitly authorizes you to conduct AI-assisted security analysis using third-party tools, and that any Audit Reports generated are subject to appropriate confidentiality obligations owed to your clients.
3.4 Responsible Disclosure
If your use of the Service identifies a critical vulnerability in a live, deployed protocol — even in the course of authorized auditing — you agree to follow responsible disclosure practices, including notifying the protocol's security contact before publicly disclosing the vulnerability or taking any on-chain action. AuditAid encourages coordinated disclosure and compliance with applicable bug bounty programs.
4. Account Registration and Security
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information;
- Maintain the security and confidentiality of your login credentials;
- Notify us immediately at legal@auditaid.io upon discovery of any unauthorized use of your account;
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
5. Service Description and Limitations
5.1 Nature of the Service
AuditAid provides AI-powered automated smart contract security analysis. The Service generates Audit Reports that identify potential vulnerabilities, gas optimization opportunities, and security risks in submitted Smart Contract code.
5.2 No Guarantee of Completeness
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- The Service is an AI-assisted tool and does not constitute a comprehensive manual security audit conducted by a human security professional;
- Audit Reports may contain false positives (reported issues that are not actual vulnerabilities) or false negatives (actual vulnerabilities not identified by the Service);
- No AI-powered tool, including AuditAid, can guarantee the detection of all vulnerabilities in any Smart Contract;
- An Audit Report from AuditAid does not certify, attest, or guarantee the security, correctness, or fitness for deployment of any Smart Contract;
- You should not rely solely on AuditAid output as the basis for deploying Smart Contracts that handle user funds or other assets of value.
5.3 Recommended Practice
For Smart Contracts deployed in production environments, particularly those handling significant user funds, AuditAid recommends using the Service as one component of a comprehensive security program that includes manual review by qualified human auditors.
6. Intellectual Property
6.1 Ownership of the Service
The Service, including its underlying technology, AI models, agent architecture, software, and branding, is owned by AuditAid and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.
6.2 Ownership of Your Content
You retain full ownership of all Smart Contract code and other materials you submit to the Service. By submitting content, you grant AuditAid a limited, non-exclusive, royalty-free license to process and analyze that content solely for the purpose of providing the Service to you.
6.3 Ownership of Audit Reports
Audit Reports generated by the Service based on your submitted content are provided to you for your use. AuditAid grants you a non-exclusive, non-transferable license to use Audit Reports for the internal security purposes for which they were generated.
6.4 No Training on Your Data
AuditAid will not use your submitted Smart Contract code or the Audit Reports generated from it to train, fine-tune, or improve AI models without your explicit prior written consent.
7. Fees and Payment
Access to certain features of the Service requires a paid Subscription. By subscribing, you agree to:
- Pay all applicable fees as described on our pricing page at the time of subscription;
- Authorize us to charge your designated payment method on a recurring basis (monthly or annual, as selected);
- Provide accurate and complete billing information.
All fees are exclusive of applicable taxes, which are your responsibility. Fees are non-refundable except as expressly provided in our refund policy or required by applicable law.
We reserve the right to modify pricing upon reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. General Prohibited Conduct
In addition to the Authorized Use requirements in Section 3, you agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
- Use automated bots, scrapers, or similar tools to interact with the Service in ways not intended or authorized;
- Interfere with or disrupt the integrity, performance, or availability of the Service;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Use the Service to develop a competing product or service;
- Remove, alter, or obscure any proprietary notices or labels on or within the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS OF AUDIT RESULTS.
AUDITAID DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- ANY AUDIT REPORT WILL BE COMPLETE, ACCURATE, OR FREE FROM FALSE POSITIVES OR FALSE NEGATIVES;
- THE SERVICE WILL IDENTIFY ALL VULNERABILITIES IN ANY SUBMITTED SMART CONTRACT;
- THE SERVICE MEETS YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
10.1 IN NO EVENT SHALL AUDITAID, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF FUNDS, SMART CONTRACT EXPLOITS, PROTOCOL HACKS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 AUDITAID'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AUDITAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
10.3 AUDITAID IS NOT LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM: (A) YOUR USE OF THE SERVICE IN VIOLATION OF THESE TERMS, INCLUDING UNAUTHORIZED ANALYSIS OF THIRD-PARTY CONTRACTS; (B) YOUR RELIANCE ON AN AUDIT REPORT WITHOUT INDEPENDENT VERIFICATION; (C) THE DEPLOYMENT OF ANY SMART CONTRACT BASED ON AUDITAID OUTPUT; (D) ANY EXPLOIT, HACK, THEFT, OR LOSS OF FUNDS RELATED TO A SMART CONTRACT, WHETHER OR NOT THE CONTRACT WAS ANALYZED USING THE SERVICE; OR (E) ANY THIRD-PARTY CLAIM ARISING FROM YOUR MISUSE OF THE SERVICE.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless AuditAid and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your violation of any applicable law or regulation;
- Your submission of Smart Contract code for which you did not have proper authorization;
- Your use of an Audit Report to exploit, attack, or harm any smart contract, protocol, or user;
- Any third-party claim arising from your misuse of the Service or Audit Reports;
- Your infringement of any intellectual property or other rights of any person or entity.
12. Termination and Suspension
We reserve the right to suspend or terminate your access to the Service, with or without notice, if:
- You violate any provision of these Terms, including the Authorized Use requirements in Section 3;
- We reasonably believe your use of the Service poses a legal, security, or reputational risk to AuditAid or any third party;
- Required by applicable law or a governmental authority;
- Your account payment method fails and is not resolved within a reasonable time.
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 3, 6, 9, 10, 11, 13, and 15.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the rules of the Deutsche Institution für Schiedsgerichtsbarkeit (DIS), with the seat of arbitration in Reutlingen, Germany, conducted in the English language, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction for claims involving intellectual property or unauthorized use under Section 3.
Business users only. If you are acting in the course of a trade, business, or profession (a "Business User" under Section 13 BGB), the arbitration clause above applies to you. If you qualify as a consumer under applicable EU or national law (including Section 13 BGB), this arbitration clause does not apply to you and you retain the right to bring claims before the courts of your country of residence.

You agree to attempt to resolve any dispute informally by contacting us at legal@auditaid.io before initiating formal proceedings.
14. Export Controls and Sanctions Compliance
The Service may be subject to export control laws and regulations. You agree not to use the Service in any manner that would violate applicable export control laws, including those of the United States. You represent that you are not located in, under the control of, or a national or resident of any country subject to applicable trade embargo, and that you are not on any government list of prohibited or restricted parties.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Subscription agreement, constitute the entire agreement between you and AuditAid regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
15.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term, or a waiver of any other term.
15.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without AuditAid's prior written consent. AuditAid may assign these Terms in connection with a merger, acquisition, or sale of assets without notice to you.
15.5 Updates to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new effective date, and, for registered users, by email notification. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes.
